We would like to inform you that due to the recent outbreak of the coronavirus (COVID-19), as a precautionary measure, FAKT has instituted tighter controls for suppliers, customers an visitors who plan to access its facilities.

 

From today and until further notice, the admission to FAKT Locations will not be granted to the individuals who:

A. have been in countries which are infected with Corona (according to Robert Koch Institut www.rki.de/DE/Content/InfAZ/N/Neuartiges_Coronavirus/Risikogebiete.html) within 14 days preceding the scheduled visit and/or access to any FAKT Locations

B. have been in direct contact with people affected by coronavirus (COVID-19) within 14 days preceding the scheduled visit and/or access to any FAKT plants;

C. have any flu-like symptoms, such as fever, cough or breathing difficulties.

D. are not carry and cover their mouth and nose when entering the FAKT site, provided that a minimum distance of 1.5 m cannot be guaranteed

 

Any visitors, customers and suppliers excluded by the aforementioned conditions, will be allowed to access FAKT Locations only after signing a self-certification form, thus confirming he/she does not fall into any of the above-mentioned categories (from bullet point A to E).

Any exception shall be managed with the site responsible with proper notification and approval.

As a general rule, and whenever applicable and feasible, FAKT recommend managing meetings in a remote manner (e.g. conference, video call) as appropriate.

New Measurement Center in Spain

Since January 2020 our new noise measurement center in south Europe, Andalusia/Spain is available for noise measurements on vehicles. In winter the average temperature is +15°C with low wind.

The certificated Measurement-track correspondes to the ISO 10844:2016 with directions from 260/320m length. The environment noise level is under 40 dB (A). The PAK system from Müller BBM is used as measuring and evaluation technology.

In addition to our Tracks we have an large hall for Vehicle parking with workshop area (lift, modern tire changer and balancer). A hotel complex with 20 rooms is connected to the measurement center.

 

In parallel, the noise measurements can be performed also on our Measurement tracks in FAKT-motion Benningen/Germany, if the weather permits.

für vereinbarte Dienstleistungen, insbesondere Prüfungs-, Beratungs- und Gutachtertätigkeiten


1. Allgemeines-Geltungsbereich

1.1 Wir erbringen technische Dienstleistungen im Bereich Verkehr und Fahrzeug, insbesondere in Form von Prüfungen, Messungen und Gutachtertätigkeiten.

1.2 Der Auftraggeber erkennt die zum Zeitpunkt der Auftragserteilung jeweils geltenden AGB sowie unsere Preise an. Abweichende, entgegenstehende oder ergänzende Allgemeine Geschäfts-bedingungen des Auftraggebers werden, selbst bei Kenntnis, nicht Vertragsbestandteil. Die Allgemeinen Geschäftsbedingungen gelten bis zum Widerruf auch für alle künftigen Aufträge.

1.3 Nebenabreden, Zusagen und sonstige Erklärungen unserer Mitarbeiter sind nur dann verbindlich, wenn sie von uns ausdrücklich schriftlich oder per E-Mail bestätigt werden. Dies gilt auch für Abänderungen dieser Klausel.

2. Auftragsdurchführung

2.1 Die von uns angenommenen Aufträge werden durchgeführt bzw. Gutachten werden erstellt nach den anerkannten Regeln der Technik und, soweit nicht entgegenstehende Abmachungen schrift-lich vereinbart sind, in der von uns üblichen Handhabung.

2.2 Der Umfang unserer Arbeiten wird bei Erteilung des Auftrages insbesondere durch unser An-gebot schriftlich festgelegt. Ergeben sich bei der ordnungsgemäßen Durchführung des Auftrages Änderungen oder Erweiterungen des festgelegten Auftragsumfanges, sind diese zusätzlich und schriftlich oder per E-Mail zu vereinbaren und gesondert zu vergüten

3. Gewährleistung und Haftung

3.1 Unsere Gewährleistung umfasst nur die Leistungen, die uns ausdrücklich in Auftrag gegeben worden sind. Eine Gewähr für die Ordnungsmäßigkeit und das Funktionieren der betreffenden Untersuchungsobjekte oder der Gesamtanlage, zu der die begutachteten oder geprüften Objekte gehören, wird damit nicht übernommen; insbesondere tragen wir keine Verantwortung für Kon-struktion, Funktion, Materialauswahl und Bau der untersuchten Objekte.

3.2 Unsere Gewährleistungspflicht ist zunächst beschränkt auf die Nacherfüllung der beauftragten Leistungen innerhalb einer angemessenen Frist. Schlägt die Nacherfüllung zwei Mal fehl, ist der Auftraggeber nach seiner Wahl berechtigt, die Herabsetzung der Vergütung oder Rückgängig-machung des Vertrages zu verlangen.

3.3 Die Gewährleistungsfrist beträgt ein Jahr ab Gefahrübergang; d.h. ab Übergabe der Ergebnisse oder Produkte an den Auftraggeber.

3.4 Eine Haftung dafür, dass die Leistung für die Zwecke des Auftraggebers geeignet ist, überneh-men wir nur, wenn unsere Leistung mangelhaft ist und uns insoweit ein Verschulden trifft oder wenn von uns eine entsprechende Garantieerklärung abgegeben wurde. Eine Haftung für Man-gelfolgeschäden aus Pflichtverletzungen oder in Bezug auf eine Beschaffenheitsgarantie ist aus-geschlossen, es sei denn, wir haben vorsätzlich oder grob fahrlässig gehandelt.

3.5 Sofern eine Haftung unserer Firma nach Maßgabe unserer Allgemeinen Geschäftsbedingungen – insbesondere auch bei Berücksichtigung der Regelungen unter der nachstehenden Ziffer 4. – bestehen sollte, haften wir je Auftrag bis zu einem Betrag von 50.000 € für Sachschäden und bis zu einem Betrag in Höhe von 50.000 € für Vermögensschäden.

3.6 Die Haftungsbeschränkungen gelten auch für unsere Haftung für die von uns eingeschalteten Mitarbeiter oder sonstigen Erfüllungsgehilfen.

4. Weitergehende Haftung; höhere Gewalt; Terminüberschreitung

4.1 Ausser in Fällen von Vorsatz, grober Fahrlässigkeit, Körperschäden oder der Haftung nach dem Produkthaftungsgesetz sind alle weiteren Ansprüche des Auftraggebers für unmittelbare und mittelbare Schäden – gleich aus welchem Rechtsgrund – ausgeschlossen, soweit sie über die von uns im Rahmen unserer Allgemeinen Geschäftsbedingungen übernommene Haftung und Gewährleistung hinausgehen.

Dies gilt auch im Hinblick auf unsere Haftung für die von uns eingeschalteten Mitarbeiter und andere Erfüllungsgehilfen.

Diese Regelung gilt insbesondere auch für die vom Auftraggeber für die Durchführung des Auf-trages zur Verfügung gestellten Sachen.

4.2 Für Schäden, die aufgrund höherer Gewalt entstehen, übernehmen wir keine Haftung.

Als höhere Gewalt sind nicht voraussehbare, durch die übliche Sorgfalt nicht abwendbare Er-eignisse anzusehen, wie z.B. unverschuldeter Stromausfall, Brand, Explosion oder ähnliches in unserem Betrieb.

4.3 Wenn die von uns in unseren Angeboten genannten Termine für die Fertigstellung der von uns auszuführenden Leistungen überschritten werden, haften wir im Rahmen der Regelungen in unseren Allgemeinen Geschäftsbedingungen nur dann, wenn wir für die Gründe für die Ter-minüberschreitung verantwortlich sind.

Wir haften insbesondere nicht, wenn die Termine wegen der Änderungen oder Ergänzungen des ursprünglichen Leistungsumfanges überschritten werden.

4.4 Unabhängig davon, ist der Auftraggeber verpflichtet, die üblichen Versicherungen gegen unmit-telbare oder mittelbare Schäden abzuschließen.

5. Vergütungs- und Zahlungsbedingungen

5.1 Für die Berechnung unserer Leistungen gelten die Entgelte in dem von uns jeweils erteilten Angebot. Bis zur endgültigen Erteilung des Auftrages sind die in dem jeweiligen Angebot ge-nannten Preise freibleibend.

5.2 Wir sind berechtigt, angemessene Vorschüsse für die von uns zu erbringenden Leistungen zu verlangen und/oder Teilrechnungen entsprechend den bereits erbrachten Leistungen zu erstellen. Teilrechnungen müssen nicht als solche ausdrücklich bezeichnet sein. Der Erhalt einer Rechnung bedeutet nicht, dass wir damit den Auftrag vollständig abgerechnet haben.

5.3 Die von uns jeweils in Rechnung gestellten Beträge sind innerhalb von 14 Tagen nach Rech-nungstellung ohne Skonto zur Zahlung fällig. Der Auftraggeber kommt durch eine Mahnung unserer Firma oder spätestens 30 Tage nach Zugang der Rechnung in Verzug. Während des Verzuges haben wir für den jeweils offenen Rechnungsbetrag einen Zinsanspruch gegen den Auftraggeber in Höhe von 8 % p.a. über dem jeweiligen Basiszinssatz.

5.4 Die Entgelte verstehen sich jeweils zuzüglich der gesetzlichen Umsatzsteuer in der jeweils gül-tigen gesetzlichen Höhe. Die Umsatzsteuer wird bei Rechnungstellung gesondert ausgewiesen.

6. Vorzeitige Beendigung des Auftrages

Sofern der Auftrag vor vollständiger Erbringung der uns übertragenen Leistungen beendet wer-den sollte – zum Beispiel durch Kündigung des Auftraggebers oder durch einvernehmliche Auf-hebung – sind wir berechtigt, für die bis zu diesem Zeitpunkt erbrachten Leistungen eine Ver-gütung abzurechnen; die Höhe der Vergütung für die erbrachten Leistungen bestimmt sich nach dem Verhältnis zwischen den tatsächlich erbrachten Leistungen und den nicht erbrachten Leis-tungen. Wenn wir zum Beispiel zum Zeitpunkt der Beendigung des Auftrages 60 % der über-tragenen Leistungen erbracht haben, stehen uns dementsprechend 60 % der insgesamt vereinbar-ten Vergütung zu.

Für die zum Zeitpunkt der Beendigung noch nicht erbrachten Leistungen sind wir ebenfalls be-rechtigt, eine Vergütung geltend zu machen. Diese Vergütung entspricht dem Wert der nicht erbrachten Leistungen im Verhältnis zum Gesamtpreis abzüglich erbrachter Aufwendungen; die ersparten Aufwendungen werden hierbei pauschal mit 30 % festgelegt.

7. Geheimhaltung, Urheberrecht, Datenschutz

7.1 Von schriftlichen Unterlagen, die uns zur Einsicht vom Auftraggeber überlassen wurden und die für die Durchführung des Auftrages von Bedeutung sind, dürfen wir Abschriften zu unseren Akten nehmen.

7.2 Soweit im Zuge der Durchführung unseres Auftrages Gutachten, Prüfergebnisse, Berechnungen und ähnliches erstellt werden, räumen wir dem Auftraggeber hieran ein einfaches, nicht über-tragbares Nutzungsrecht ein, soweit dies nach dem vertraglich vorausgesetzten Zweck erforder-lich ist. Weitere Rechte werden ausdrücklich nicht mitübertragen.

Der Auftraggeber ist berechtigt, die von uns erstellten Gutachten, Ergebnisse, Berechnungen oder ähnliches auch außerhalt seines Betriebes im geschäftlichen Verkehr zu benutzen. Er darf hierbei den Namen bzw. die Marke „FAKT“ nur dann verwenden, wenn er die von uns er-brachten Gutachten, Ergebnisse, Berechnungen etc. vollständig benutzt.

Wenn der Auftraggeber die von uns erstellten Gutachten, Ergebnisse, Berechnungen etc. ver-ändert, bearbeitet oder nur auszugsweise benutzt, darf er den Namen bzw. die Marke „FAKT“ nicht benutzen.

7.3 Wir werden Geschäfts- und Betriebsverhältnisse des Auftraggebers, die uns bei der Ausübung der Tätigkeit zur Kenntnis gelangen, außerhalb der Durchführung des Auftrages nicht unbefugt of-fenbaren und/oder verwerten.

7.4 Wir verarbeiten und nutzen auch personenbezogene Daten ausschließlich für eigene Zwecke. Dazu setzen wir Datenverarbeitungsanlagen ein. Wir haben technisch-organisatorische Maß-nahmen getroffen, die die Sicherheit der Datenbestände und der Datenverarbeitungsabläufe gewährleisten. Die mit der Verarbeitung beschäftigten Mitarbeiter sind gemäß den Vorschriften des Bundesdatenschutzgesetzes verpflichtet und gehalten, sämtliche Datenschutzbestimmungen strikt einzuhalten.

8. Schlussbestimmungen

8.1 Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über internationale Warenkaufverträge (CISG).

8.2 Gerichtsstand für die Geltendmachung von Ansprüchen für beide Parteien ist Memmingen.

8.3 Erfüllungsort für alle sich aus diesem Vertrag ergebenden Verpflichtungen ist Heimertingen, der Sitz unseres Unternehmens.

As an accredited technical service FAKT offers a complete range of approval vehicle testing and also issues technical reports which are the foundation for granting of EG / ECE type approvals for complete vehicles, systems or independent technical units.

On national level approvals are given to receive the General Operating Licence or part approvals for components or modifications.

The provision of test vehicles equipped with the test parts complement our scope of supply to carry out approval proceedings quickly and unproblematically.
